The International Cat Association, Inc.

We have performed the procedures enumerated below, which are stated in
the TICA Standing Rules as revised on May 1, 2005 of The International
Cat Association, Inc., solely to provide you with the results of your
annual election for the year ended December 31, 2005. This agreed-upon
procedures engagement was conducted in accordance with attestation
standards established by the American Institute of Certified Public
Accountants.
The sufficiency of these procedures is solely the responsibility of
those parties specified in this report. Consequently, we make no
representation regarding the sufficiency of the procedures described
below either for
the purpose for which this report has been requested or for any other
purpose.
We received sealed envelopes containing ballots mailed directly and
sent via facsimile to us, and held the envelopes unopened until the
close of the
election. Following the close of the election, we sorted the sealed
envelopes by region, and validated the ballots prior to opening them.
Validation was performed as follows:
- Determined each sealed envelope containing a ballot was signed;
rejected any unsigned envelopes.
- Compared the ballot to the valid membership list to determine
eligibility of the member voting.
- Compared the postmark date for any duplicate ballots requested
and
rejected any postmark dates not on or near the date certified by the
member as the mailing date.
- Compared any ballots received via facsimile to the membership
list to
determine eligibility of the member voting via facsimile; determined
no mailed ballot was physically received for the same member; and
rejected
any facsimile ballots that were not signed by the member.
- Following the above steps we opened each envelope; verified only
one
general and one regional or breed ballot (as appropriate) was
contained in the envelope. We verified the regional or breed ballot was
the appropriate one for that member. We rejected any envelope which
contained more than one ballot of either type, and returned the
complete
package
with opened envelope to the Executive Office.
Following validation, we separated the envelope from the ballot for
those envelopes meeting the above requirements; tallied the votes for
those
ballots that were legible and passed the above requirements, and
reported the results of the tally of all validated ballots in this
report.
We were not engaged to and did not conduct an examination, the
objective of which would be the expression of an opinion on the
accompanying results
of the annual election of The International Cat Association, Inc.
Accordingly, we do not express such an opinion. Had we performed
additional
procedures, other matters might have come to our attention that would
have been
reported to you.
This report is intended solely for the information and use of the
Executive Office of The International Cat Association, Inc., and is not
intended
to be
and should not be used by anyone other than these specified parties.

Exception Report
- There were 30 envelopes that were unsigned and therefore those
ballots
were rejected.
- There were 49 envelopes that arrived after the close of elections
and
therefore those ballots were rejected.
- There was one ballot in which 8 votes were cast for an election
that
only allowed 7 votes. The ballot was rejected.
- There were 4 sets of duplicate ballots that were cast in the
Balinese
election. In each case, the Corrected Ballot was accepted and votes
tallied; the second ballot was rejected.
- There were 7 Breed ballots where there were no votes cast
